Company Description:
We are a Delaware chartered, federally insured, commercial bank which, before this offering, has been a wholly-owned subsidiary of the Bancorp. We were formed in 1999 and commenced operations in July 2000. Our principal founder is Betsy Z. Cohen who, from 1981 until its acquisition by Hudson United Bancorp in November 1999, was chairman and chief executive officer of JeffBanks, Inc., a bank holding company that operated in the Philadelphia metropolitan area. Following the acquisition of JeffBanks, Mrs. Cohen served as a director and member of the executive committee of the board of directors of Hudson United until July 2000, and as chairman of the Jefferson Bank Division of Hudson United Bank until March 2000. In total, the top seven members of our management have over 140 years of experience in providing banking services to small to mid-size businesses and their principals in the Philadelphia-Wilmington market area.
